1. Agreement to Terms

By creating an account on or using the Tarshix platform ("Platform") operated by Tarshix Trade Systems Limited ("Tarshix," "we," "us," "our"), you ("User," "you," "your") agree to be bound by these Terms of Use. If you are using the Platform on behalf of an organisation, you represent that you have authority to bind that organisation to these terms.

If you do not agree to these terms, do not use the Platform.

2. Service Description

Tarshix is a commercial and international trade operations platform that provides:

  • Transaction management for port calls, cargo movements, and trade engagements

  • Professional invoicing (PDA, FDA, agency fees, and other trade invoice types)

  • Payment tracking and automated reconciliation via integrated payment infrastructure

  • Trade document management (upload, versioning, classification, and sharing)

  • Contract lifecycle management

  • Multi-tier approval workflows

  • Counterparty portal for invoice distribution and payment collection

  • Audit trail and compliance reporting

Tarshix is a software platform. We are not a bank, payment institution, financial advisor, legal advisor, or licensed financial services provider. Payment processing is provided by licensed third-party payment processors regulated by the Central Bank of Nigeria. Details of current payment processing partners are available within the Platform.

3. Account Registration

To use the Platform, you must:

  • Be at least 18 years of age

  • Provide accurate, current, and complete registration information

  • Maintain the security of your account credentials

  • Notify us immediately of any unauthorised access to your account

  • Not share your login credentials with anyone outside your organisation

Each legal entity may register one organisation account. You may create multiple workspaces within your organisation as permitted by your subscription plan.

4. Organisation Verification

Tarshix operates a three-tier verification system:

  • Self-Declared: You provide your company name and registration number. Basic platform access.

  • Document-Verified: You submit supporting documentation (CAC certificate, utility bills). Unlocks external invoicing and payment features.

  • Enhanced-Verified: Additional due diligence for premium features and higher transaction limits.

You agree to provide truthful information during verification. Submitting fraudulent or falsified documents will result in immediate account termination.

5. Acceptable Use

You agree to use the Platform only for lawful trade operations. You must not:

  • Create false, fraudulent, or misleading invoices

  • Use the Platform for money laundering, terrorism financing, or any financial crime

  • Upload malicious files, malware, or code designed to disrupt the Platform

  • Attempt to access other users' data or accounts

  • Impersonate another person or organisation

  • Use automated scripts, bots, or scrapers to access the Platform without authorisation

  • Reverse-engineer, decompile, or attempt to extract the source code of the Platform

  • Use the Platform in violation of any applicable Nigerian or international law

  • Resell or sublicence access to the Platform without written permission

6. Data Ownership and Licence

Your data is yours. You retain full ownership of all data you create, upload, or store on Tarshix — including transactions, invoices, contracts, documents, and financial records.

You grant Tarshix a limited, non-exclusive licence to process, store, display, and transmit your data solely as necessary to provide the Platform services. This licence terminates when you delete your data or close your account (subject to legal retention requirements).

Tarshix may use anonymised, aggregated data (with no personally identifiable information or company-identifiable trade details) to improve the Platform and generate industry benchmarks. No individual company's data will be identifiable in any aggregated analysis.

7. Subscription and Payment Terms

Pricing: The Platform offers subscription plans priced per organisation (not per user). Current pricing is published on our website and may change with 30 days written notice.

Billing: Subscription fees are billed monthly or annually as selected at sign-up. Payment is due at the start of each billing period.

Transaction fees: Paid plans that include payment integration are subject to transaction fees on payments processed through the Platform. Current transaction fee rates are disclosed during onboarding and in your plan details. Third-party payment processor fees (charged by our payment processing partners) are separate from Tarshix transaction fees and are disclosed at the point of transaction.

Currency: All subscription fees are denominated in Nigerian Naira (₦). Transaction fees are calculated on the Naira value of each payment processed.

Non-refund: Subscription fees are non-refundable except where required by applicable law. If you cancel mid-cycle, you retain access until the end of your current billing period.

Late payment: If payment fails, we will attempt to collect for 7 days. If payment remains unsuccessful, your account may be downgraded to the Starter (free) plan. Your data will be retained for 90 days, during which you can reactivate by updating your payment method.

8. Payment Processing

Tarshix integrates with licensed third-party payment processors to facilitate invoice payments and collections. By using the payment features of the Platform, you acknowledge and agree that:

  • Payment processing is performed by third-party payment processors, not by Tarshix directly

  • Your use of payment processing features is subject to the terms and conditions of the applicable payment processor, in addition to these Terms

  • Tarshix may change payment processing partners at any time, with reasonable notice to affected users

  • Virtual bank accounts, payment links, and other payment instruments are provided and managed by our payment processing partners

  • Tarshix is not liable for delays, errors, or failures in payment processing caused by third-party payment processors, banking infrastructure, or network issues

  • Funds collected through the Platform are settled according to the payment processor's settlement schedule and policies

Current payment processing partners and their applicable terms are listed within the Platform settings.

9. Free Plan Limitations

The Starter plan is free and does not require a credit card. It is subject to limitations on team size, invoice volume, and feature access as described on our pricing page. We reserve the right to modify free plan limitations with 30 days notice.

10. Counterparty Portal and Shared Access

When you dispatch an invoice or share documents through Tarshix, your counterparty receives access to a portal where they can view the information you share. You are responsible for ensuring that the information you share through the portal is accurate and that you have the right to share it.

Counterparties who are not Tarshix users will have view-only and payment access to shared content. They are not bound by these Terms of Use but are subject to our Portal Terms of Access (displayed on the portal).

11. Intellectual Property

The Tarshix platform — including its design, code, architecture, brand, logo, documentation, and all related intellectual property — is owned by Tarshix Trade Systems Limited and protected by Nigerian and international intellectual property law.

Your use of the Platform does not grant you any ownership rights in the Platform itself. You may not copy, modify, distribute, or create derivative works based on the Platform without written permission.

12. Service Availability and Support

Uptime target: We target 99.99% uptime for paid plans. This is a target, not a guarantee, and excludes scheduled maintenance windows.

Scheduled maintenance: We will provide at least 24 hours notice of planned maintenance that may affect availability.

Support: Support response times vary by plan (Starter: 48hr email, Professional: 24hr email, Business: phone + dedicated manager, Enterprise: SLA-based).

Force majeure: We are not liable for service interruptions caused by events beyond our reasonable control, including natural disasters, government actions, internet infrastructure failures, or third-party provider outages.

13. Limitation of Liability

To the maximum extent permitted by Nigerian law:

  • Tarshix is not liable for indirect, incidental, consequential, or punitive damages arising from your use of the Platform

  • Tarshix is not responsible for the accuracy, completeness, or legality of invoices, contracts, or documents you create using the Platform

  • Tarshix is not responsible for the payment behaviour of your counterparties

  • Tarshix is not responsible for the actions, omissions, or failures of third-party payment processors

  • Our total aggregate liability for any claims arising from these terms or your use of the Platform is limited to the total fees you paid to Tarshix in the 12 months immediately preceding the claim

  • Tarshix does not guarantee that use of the Platform will result in any particular business outcome, revenue increase, or trade finance eligibility

14. Indemnification

You agree to indemnify and hold harmless Tarshix, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Platform

  • Your violation of these Terms

  • Your violation of any applicable law

  • Any dispute between you and your counterparties

  • Any fraudulent or misleading information you submit

15. Account Termination

By you: You may close your account at any time through the Platform settings or by emailing support@tarshix.com. Upon closure, you will have 30 days to export your data.

By us: We may suspend or terminate your account if:

  • You violate these Terms of Use

  • You fail to pay subscription fees after the grace period

  • You submit fraudulent verification documents

  • You use the Platform for illegal activities

  • We are required to do so by law or regulation

Upon termination by us for cause, we will provide written notice explaining the reason. You will have 14 days to export your data unless law enforcement directs otherwise.

Data after termination: After the export period, your personal data will be deleted. Trade data subject to legal retention requirements (Nigerian tax law requires 7-year retention of financial records) will be anonymised and retained for the statutory period.

16. Dispute Resolution

Between you and Tarshix: Any dispute arising from these Terms or your use of the Platform shall first be addressed through good-faith negotiation. If negotiation fails within 30 days, the dispute shall be referred to arbitration in Lagos, Nigeria, under the Arbitration and Mediation Act 2023.

Between you and your counterparties: Tarshix is not a party to commercial disputes between you and your counterparties. However, the immutable audit trail within the Platform may serve as evidence of actions taken on the Platform.

17. Governing Law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

18. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email at least 30 days before they take effect. Continued use of the Platform after the effective date constitutes acceptance of the updated terms.

19. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy and any plan-specific terms, constitute the entire agreement between you and Tarshix regarding use of the Platform.
